The Balance of Power in the NAND Flash Market

A delicate diplomatic game is currently unfolding within the NAND memory industry. Recent hints from South Korean giant SK hynix regarding deeper cooperation with Japanese manufacturers and the possibility of joint production in Japan have met with a mixed reception. Although SK hynix is a significant investor in Kioxia, the latter's leadership has firmly rejected any notion of a tight operational merger.
Kioxia CEO Hiroo Ota emphasizes that any substantial convergence would inevitably trigger clashes with antitrust regulators and create critical frictions in the company's relationship with Sandisk, with whom it already maintains a joint venture. In the current market climate, forming a closed three-company consortium appears to be an unjustifiable risk; any discussions regarding joint production remain purely hypothetical, lacking a formal framework for negotiation.
Nevertheless, the ties between Kioxia and SK hynix run deeper than they might initially appear. Financial interdependence is evident in SK hynix's holding of convertible bonds, which, under certain conditions, could be converted into an equity stake of approximately 14.19%. The technological symbiosis is equally pronounced: the companies are collaborating on the development of STT-MRAM, and Kioxia sources DRAM chips from its Korean partner for its SSDs. Furthermore, Sandisk acts as the connective tissue, collaborating with SK hynix on the development of HBF memory.
Simultaneously, Kioxia is exploring avenues beyond the traditional silicon stack. In partnership with Taiwan's Nanya Technology, research is underway into the use of metal oxides, which could yield a viable alternative to classical DRAM. While these efforts remain in the research phase, their commercial success could fundamentally redraw the map of industry partnerships.
A primary priority for Kioxia's new leadership is curbing the aggressive price surges of NAND memory, particularly within the server segment. Following a sharp spike in the second quarter—where prices soared by 70%—the risk of market oversaturation and customer pushback emerged. Hiroo Ota has been candid: even hyperscalers, the titans of cloud infrastructure, have budgetary limits. Excessive component costs could stifle the deployment of new capacity; consequently, the company's current strategy is pivoted toward price stabilization.
Kioxia's long-term strategy envisions deep integration into the data center and enterprise solution ecosystems. This segment is expected to generate over 60% of the company's total revenue, tying its success directly to the evolution of AI infrastructure. Rather than pursuing expansion at any cost, the company is focusing on the creation of high-demand technological products. A tangible manifestation of this approach is the rollout of 10th-generation 332-layer 3D NAND, poised to set a new benchmark for density and performance in the enterprise sector.
